Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 20, 2021, the Compensation Committee of the Board of Directors (the Board) of Phathom Pharmaceuticals, Inc. (the Company) approved increases to the base salaries for Terrie Curran, the Companys President and Chief Executive Officer, Azmi Nabulsi, M.D., M.P.H., the Companys Chief Operating Officer, and Todd Branning, the Companys Chief Financial Officer. Effective July 1, 2021, Ms. Currans annual base salary increased to $600,000, Dr. Nabulsis annual base salary increased to $500,000, and Mr. Brannings base salary increased to $438,000.
On May 21, 2021, the Board reviewed and approved an increase in the number of options granted to non-employee directors to purchase shares of the Companys common stock on the date of the Companys annual meeting from 10,000 shares to 12,500 shares.

On May 21, 2021, the Company held its 2021 Annual Meeting of Stockholders. At the annual meeting, stockholders voted on the matters disclosed in the Companys definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on April 6, 2021 (the Proxy Statement). The final voting results for the matters submitted to a vote of stockholders were as follows:
